Overview

These Terms of Service (“Terms”) govern your access to and use of the Aqua Vera website, products, customer accounts, subscriptions, content, and related services collectively referred to as the “Service.”

Aqua Vera is a brand operated by The Gray Area Lab LLC (“Aqua Vera,” “we,” “us,” or “our”). Products purchased through Aqua Vera are sold by The Gray Area Lab LLC under the Aqua Vera brand.

By visiting our website, creating an account, placing an order, enrolling in a subscription, or otherwise using the Service, you agree to these Terms and our:

• Subscription & Cancellation Policy

If you do not agree to these Terms, you may not use the Service or purchase our products.

1. Eligibility

You must be at least 21 years old to use the Service or purchase Aqua Vera products.

By using the Service, you represent that:

• You are at least 21 years old;
• You have the legal capacity to enter into a binding agreement;
• The information you provide is accurate and complete;
• Your purchase and intended use are lawful;
• You are purchasing exclusively for legitimate research purposes; and
• You have the knowledge, facilities, and procedures necessary to handle research materials safely.

We may refuse or cancel an order if we cannot reasonably verify eligibility or believe these requirements have been violated.

2. Research Use Only

All Aqua Vera products are sold strictly for lawful, non-clinical laboratory research use only.

Aqua Vera products are not intended, represented, or offered for:

• Human or animal consumption;
• Human or animal administration;
• Injection, ingestion, inhalation, or topical application;
• Diagnosis of any condition;
• Treatment, prevention, mitigation, or cure of any disease;
• Clinical, therapeutic, household, or personal use;
• Preparation or reconstitution of a substance intended for human or animal administration; or
• Any purpose inconsistent with the product label or applicable law.

Aqua Vera does not represent that its products are approved, cleared, or authorized by the U.S. Food and Drug Administration for human or animal use.

By purchasing a product, you represent that neither you nor anyone acting on your behalf will use, transfer, market, or resell it for a prohibited purpose.

You are responsible for properly receiving, inspecting, storing, handling, using, and disposing of products in accordance with:

• The product label;
• Available product documentation;
• Appropriate laboratory practices; and
• All applicable laws and regulations.

A disclaimer or research-use designation cannot make an otherwise unlawful use permissible.

3. No Medical or Professional Advice

Nothing on the Aqua Vera website constitutes medical, pharmaceutical, diagnostic, veterinary, legal, or other professional advice.

Website content is provided for general product and research information only. It is not a substitute for advice from a properly qualified professional.

Aqua Vera does not provide:

• Medical consultations;
• Diagnoses or treatment recommendations;
• Dosage information;
• Administration instructions;
• Reconstitution instructions for human or animal use; or
• Recommendations concerning the use of any product on a person or animal.

Customer-service responses must not be interpreted as professional or medical advice.

4. Customer Accounts

You may be able to create a customer account to view orders, manage subscriptions, or access other features.

You are responsible for:

• Providing accurate and current information;
• Keeping your login credentials confidential;
• Restricting access to your account and devices; and
• Promptly notifying us of suspected unauthorized access.

You are responsible for activity occurring through your account to the extent permitted by law. We may suspend or terminate accounts associated with fraud, misuse, prohibited conduct, or violations of these Terms.

5. Product Information

We make reasonable efforts to present product descriptions, specifications, photographs, packaging, pricing, and availability accurately.

However:

• Packaging, labels, or product appearance may be updated;
• Colors may appear differently depending on your display;
• Availability may change without notice; and
• Minor packaging differences that do not materially change the ordered product may occur.

Only specifications expressly displayed on the product page, product label, or accompanying documentation form part of the product description.

You are responsible for reviewing the complete product listing and label before purchasing or using a product.

6. Prices, Taxes, and Charges

Prices are displayed in U.S. dollars unless otherwise stated.

Product prices may change without notice, but a change will not affect an order we have already accepted unless:

• You approve the change;
• The displayed price resulted from an obvious error; or
• A correction is otherwise permitted by law.

Applicable shipping charges, taxes, discounts, and the final order total will be displayed during checkout before you submit payment.

You are responsible for applicable sales, use, or other taxes collected or required by law.

7. Orders and Acceptance

Submitting an order is an offer to purchase the selected products. An automated order confirmation acknowledges receipt but does not necessarily mean that we have accepted the order.

We may refuse, limit, or cancel an order because of:

• Product unavailability;
• Pricing or listing errors;
• Payment failure;
• Suspected fraud or unauthorized activity;
• Suspected resale or diversion;
• Promotion abuse;
• Shipping restrictions;
• Failure to satisfy age or research-use requirements;
• Violation of these Terms; or
• Legal or regulatory requirements.

We may limit quantities purchased per person, household, account, payment method, billing address, or shipping address.

If we cancel an order after collecting payment and do not ship the merchandise, we will refund the applicable amount.

8. Payment

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that:

• You are authorized to use the payment method;
• The information provided is accurate;
• The payment may be charged for the displayed order total; and
• For subscriptions, future charges may be processed according to the Subscription & Cancellation Policy.

Payment authorization does not guarantee order acceptance.

We may use Shopify and third-party payment processors. Their separate terms and privacy practices may apply to information they process.

9. Shipping and Delivery

At launch, Aqua Vera accepts and ships orders only to eligible addresses within the United States unless otherwise stated.

Processing estimates, shipping methods, carrier-calculated charges, address requirements, delivery estimates, and shipping-claim procedures are described in our Shipping Policy .

Delivery dates are estimates unless expressly guaranteed. We are not responsible for carrier delays outside our reasonable control, but we will comply with applicable laws concerning delayed or unfulfilled orders.

You are responsible for providing a complete and accurate delivery address. Address corrections and reshipments may result in additional charges as described in our Shipping Policy.

10. Order Changes and Cancellations

Requests to change or cancel an order must be submitted before the order enters processing.

We will make reasonable efforts to accommodate timely requests, but a request is not approved until Aqua Vera confirms it.

Once an order has entered processing, been packed, or shipped, it generally cannot be changed or canceled.

11. Returns, Refunds, and Order Problems

Because product integrity and chain of custody cannot be verified after shipment, Aqua Vera products are generally final sale once shipped.

We do not generally accept returns or issue refunds for:

• Buyer’s remorse;
• Accidental orders;
• Failure to cancel a subscription before processing;
• Products that are no longer wanted;
• Refused deliveries; or
• Products handled, opened, stored, or transferred after delivery.

Damaged, defective, missing, or incorrect-item claims must be submitted within seven calendar days of delivery and are governed by our Returns & Refunds Policy .

Nothing in these Terms limits any non-waivable consumer right provided by applicable law.

12. Subscriptions

Eligible products may be offered through Subscribe & Save.

By selecting a subscription and completing checkout, you expressly authorize recurring charges for the product, delivery frequency, shipping, taxes, and other amounts disclosed before enrollment.

Unless otherwise displayed:

• Eligible subscriptions receive 50% off the regular one-time purchase price;
• Subscriptions renew automatically at the selected frequency;
• There is no minimum commitment;
• Cancellation is available without a cancellation fee; and
• Cancellation must occur before the next order enters processing.

Canceling a subscription stops future renewals. It does not automatically cancel or refund an order already being processed.

13. Discounts and Promotions

Coupons, subscription savings, bulk pricing, volume discounts, introductory offers, and other promotions do not combine unless expressly permitted.

Subscribe & Save and bulk-order pricing are separate offers. A customer may receive the applicable subscription price or bulk price, but not both on the same item unless we explicitly allow it.

Promotions may be subject to:

• Eligibility requirements;
• Quantity limits;
• Expiration dates;
• Product restrictions;
• One-use limits; and
• Household or customer limits.

We may reject or cancel transactions involving suspected fraud, duplicate accounts, automated activity, resale, or attempts to bypass promotion restrictions.

14. Resale and Commercial Use

Purchases are intended for the customer’s own lawful research operations.

You may not resell, redistribute, relabel, repackage, or market Aqua Vera products without our prior written authorization.

You may not represent an Aqua Vera product as:

• Approved for medical use;
• Intended for human or animal administration;
• A prescription or over-the-counter drug;
• A therapeutic product;
• A product manufactured or endorsed by another company; or
• Meeting specifications or certifications not expressly provided by Aqua Vera.

Bulk pricing does not, by itself, authorize resale or establish a distributor relationship.

15. Intellectual Property

The Service and its contents—including the Aqua Vera name, logos, designs, photographs, graphics, text, product descriptions, page layouts, software, and other materials—are owned by or licensed to Aqua Vera and are protected by intellectual-property laws.

We grant you a limited, revocable, nonexclusive, nontransferable right to access the Service for lawful personal or internal business use.

Without prior written permission, you may not:

• Copy or republish website content;
• Use Aqua Vera trademarks or branding;
• Reproduce product photographs;
• Create derivative works;
• Scrape or systematically extract website data;
• Imply an endorsement or business relationship; or
• Use our content to market another product.

16. Reviews, Feedback, and Submissions

If you submit a review, testimonial, suggestion, photograph, or other content, you confirm that:

• You created it or have permission to submit it;
• It is truthful and reflects your genuine experience;
• It does not infringe another party’s rights;
• It does not contain unlawful, deceptive, abusive, or harmful material; and
• Any material connection, incentive, or compensation is clearly disclosed.

You grant Aqua Vera a nonexclusive, worldwide, royalty-free license to use, reproduce, format, publish, and display submitted content for operating and promoting Aqua Vera, subject to applicable law and our Privacy Policy.

We may moderate or remove submitted content, but we are not obligated to publish every submission. We will not alter a review in a way that materially changes the reviewer’s expressed opinion.

17. Third-Party Services and Links

The Service may rely on or link to third-party services, including Shopify, payment processors, carriers, subscription platforms, analytics providers, and marketing services.

We do not control third-party websites or services. Your use of them may be governed by their own terms and privacy policies.

A link does not necessarily mean Aqua Vera endorses every statement, product, or service offered by the third party.

18. Privacy

Our collection, use, retention, and disclosure of personal information are described in our Privacy Policy .

By using the Service, you acknowledge that information may be processed by Shopify and other providers necessary to operate the store, complete payments, fulfill orders, prevent fraud, and provide requested services.

19. Electronic Communications

By placing an order or creating an account, you consent to receive transactional communications electronically, including:

• Order confirmations;
• Payment notices;
• Shipping updates;
• Account-security messages;
• Subscription notices; and
• Policy or service notices.

Transactional communications are separate from promotional marketing consent.

20. Prohibited Conduct

You may not use the Service or our products to:

• Violate any law or regulation;
• Facilitate human or animal administration;
• Make unauthorized medical or therapeutic claims;
• Commit fraud or misrepresent your identity;
• Infringe intellectual-property or privacy rights;
• Submit false reviews or testimonials;
• Transmit malicious software or harmful code;
• Interfere with the website’s operation or security;
• Obtain unauthorized access to accounts or systems;
• Scrape, crawl, or extract data without permission;
• Circumvent purchase limits or promotion rules;
• Harass, threaten, or abuse another person;
• Resell or divert products without authorization; or
• Engage in conduct that exposes Aqua Vera, its providers, or customers to legal or security risk.

We may investigate suspected violations and cooperate with lawful regulatory or law-enforcement requests.

21. Disclaimer of Warranties

To the fullest extent permitted by law, the website and Service are provided on an “as available” and “as is” basis.

We do not warrant that:

• The website will always be uninterrupted or error-free;
• Every defect will be corrected immediately;
• The website will be free from all harmful components; or
• Information outside an accepted product specification will meet a particular research objective.

Except for warranties expressly stated in writing and rights that cannot legally be excluded, Aqua Vera disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement.

These exclusions do not apply where prohibited by law.

22. Limitation of Liability

To the fullest extent permitted by law, Aqua Vera, The Gray Area Lab LLC, and their owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Service, a product, or these Terms.

To the fullest extent permitted by law, our aggregate liability arising from an order will not exceed the amount you paid Aqua Vera for the order giving rise to the claim.

These limitations do not apply to:

• Fraud or intentional misconduct;
• Gross negligence where it cannot be limited;
• Personal injury or property damage where liability cannot legally be excluded;
• A valid product-liability claim that cannot legally be waived; or
• Non-waivable rights provided by applicable law.

23. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Aqua Vera, The Gray Area Lab LLC, and their owners, officers, employees, contractors, and service providers from third-party claims, losses, liabilities, and reasonable expenses arising from:

• Your unlawful or prohibited use of a product;
• Your unauthorized resale, relabeling, or redistribution;
• Your violation of these Terms;
• Your infringement of another party’s rights; or
• Fraudulent or intentionally harmful conduct.

This section does not require a consumer to indemnify Aqua Vera for Aqua Vera’s own unlawful conduct, negligence, or breach of these Terms.

24. Product Notices and Regulatory Compliance

We may contact customers concerning product corrections, withdrawals, recalls, regulatory notices, or other important product information.

You agree to review such communications promptly and follow reasonable instructions concerning affected products.

We may suspend sales, cancel orders, or discontinue products when reasonably necessary for safety, legal, quality-control, supplier, or regulatory reasons.

25. Suspension and Termination

We may suspend or terminate access to the Service if you violate these Terms, misuse the website, engage in suspected fraud, or create legal or security risk.

Termination does not eliminate payment obligations or liabilities arising before termination. Provisions that should reasonably survive termination—including intellectual property, disclaimers, liability limitations, indemnification, and governing law—will remain effective.

26. Events Beyond Our Control

Aqua Vera is not responsible for delays or failures caused by events beyond our reasonable control, including severe weather, natural disasters, carrier disruptions, labor disputes, government actions, supply interruptions, power failures, cyber incidents, or failures of third-party systems.

This provision does not eliminate obligations that cannot be waived under applicable consumer law.

27. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

Nothing in this section deprives a consumer of mandatory protections provided by the law of the consumer’s state of residence.

Disputes will be submitted to a court of competent jurisdiction unless the parties separately agree to another lawful resolution process.

28. Severability and Waiver

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed without affecting the remaining provisions.

Our failure to enforce a provision is not a waiver of that provision or our right to enforce it later.

29. Entire Agreement

These Terms and the policies incorporated into them constitute the entire agreement between you and Aqua Vera concerning the Service and replace prior communications concerning the same subject.

Any ambiguity will not automatically be interpreted against the party that drafted the Terms.

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, restructuring, or sale of the business or its assets.

30. Changes to These Terms

We may update these Terms to reflect changes to our business, products, technology, policies, service providers, or legal obligations.

Updated Terms will be posted with a revised “Last updated” date. Material changes will apply prospectively unless otherwise permitted by law. When required, we will provide additional notice or obtain consent.

Continued use of the Service after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
